Please read these Terms of Use (“Terms”) carefully before using bitrebels.com, our websites, publisher services, client marketplace services, forms, email communications, tokenized dashboards, and related tools (together, the “Service”) operated by Bit Rebels (“Bit Rebels”, “we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Use Of The Service

You agree to use the Service only for lawful purposes and in accordance with these Terms.

You must not:

– Use the Service in a way that violates applicable law or regulation
– Attempt to gain unauthorized access to any part of the Service
– Share tokenized dashboard links with unauthorized parties
– Scrape, harvest, copy, extract, or build databases from marketplace information
– Attempt to bypass security, rate limits, access controls, or abuse-prevention systems
– Submit false, misleading, fraudulent, or unauthorized information
– Impersonate another person or company
– Interfere with the operation, security, or integrity of the Service
– Use the Service to send spam, malware, or harmful content

Tokenized Access Links

Some parts of the Service may be accessed through private tokenized links instead of traditional usernames and passwords. You are responsible for keeping these links secure.

We may revoke, renew, disable, or replace tokenized access links at any time if we believe a link has been shared, abused, compromised, or used in a way that creates risk to the Service, our clients, our publishers, or Bit Rebels.

Publisher Website Submissions

Publishers may submit websites for consideration in our marketplace. Submitting a website does not guarantee approval, inclusion, visibility, order volume, or any future business opportunity.

You represent and warrant that any website, contact information, pricing, business information, payment information, and placement details you submit are accurate, current, lawful, and not misleading.

We may approve, reject, archive, remove, suspend, or blacklist websites, publishers, email addresses, or domains at our discretion.

Publishers are responsible for:

– Providing accurate website and business information
– Keeping pricing, accepted niches, and placement notes current
– Reviewing orders within required timeframes
– Completing accepted orders professionally and within agreed requirements
– Publishing or implementing placements only after authorization
– Maintaining quality, lawful, and transparent publishing practices
– Ensuring that submitted websites and placements comply with applicable laws and third-party rights

Publisher Verification

Publishers may optionally verify websites through Google Search Console or other verification methods made available through the Service. Verification may be used to confirm website access and display verified metrics.

Verification is not a guarantee of approval, ranking, order volume, or payment. We may remove or update verification status if information becomes inaccurate, unavailable, revoked, or inconsistent with marketplace requirements.

Client Orders

Clients may submit sponsored content, brand mention, or link placement orders through the Service. Orders are subject to publisher review, availability, approval, payment, and final completion.

Submitting an order does not guarantee that a publisher will accept it. If a publisher declines or fails to respond within the required timeframe, the order may be canceled or the client may be invited to choose another website.

Clients are responsible for:

– Providing accurate order details
– Ensuring submitted content, URLs, images, anchors, and instructions are lawful and do not infringe third-party rights
– Completing invoice payment within the required timeframe
– Reviewing completed placements within the required timeframe
– Requesting changes only through the Service and only as permitted by the order flow

Payments And Invoices

Invoices may be issued through third-party payment providers such as PayPal. Payment must be completed within the timeframe stated in the invoice or order communication. If payment is not completed in time, the invoice and order may be canceled.

Publisher payouts, where applicable, are handled according to the order flow and marketplace rules then in effect. We may withhold, delay, or cancel payment if an order is incomplete, disputed, fraudulent, non-compliant, rejected by the client, or otherwise violates these Terms.

Content And Order Materials

Clients and publishers may submit content, files, images, URLs, notes, instructions, and other materials through the Service (“Submitted Materials”).

You represent and warrant that you have all necessary rights, permissions, and authority to submit and use Submitted Materials in connection with the Service.

You retain ownership of your Submitted Materials, but you grant Bit Rebels a limited right to host, store, process, transmit, display, review, and share Submitted Materials as necessary to operate the Service, process orders, communicate with clients and publishers, prevent abuse, and maintain records.

Submitted Materials must not:

– Infringe copyrights, trademarks, privacy rights, publicity rights, or other rights
– Contain unlawful, misleading, defamatory, harmful, or malicious content
– Contain malware, viruses, or harmful code
– Violate applicable advertising, disclosure, consumer protection, or platform rules

Marketplace Information

Marketplace information, including domain listings, metrics, prices, categories, notes, verified metrics, and availability, is provided for marketplace use only.

You may not scrape, harvest, reproduce, sell, redistribute, publish, or use marketplace information to build competing databases, contact publishers or clients outside the Service, bypass the marketplace, or otherwise exploit the Service in an unauthorized manner.

No Circumvention

Clients and publishers must not use the Service to identify, contact, solicit, negotiate with, or transact directly with each other outside the Service in order to avoid marketplace processes, fees, security controls, payment handling, or order management.

We may suspend or terminate access if we believe a user is attempting to circumvent the Service.

Intellectual Property

The Service, including its design, functionality, software, text, graphics, logos, branding, marketplace structure, and original content, is owned by Bit Rebels or its licensors and is protected by copyright, trademark, and other laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Service except as expressly permitted by these Terms or applicable law.

Third-Party Services

The Service may use or link to third-party services, including payment providers, Google services, analytics providers, email providers, hosting providers, and publisher or client websites.

We are not responsible for third-party websites, services, policies, content, availability, or actions. Your use of third-party services may be governed by their own terms and privacy policies.

Suspension And Termination

We may suspend, disable, restrict, or terminate access to the Service at any time, with or without notice, if we believe:

– You violated these Terms
– You submitted false, misleading, unauthorized, or harmful information
– You attempted to abuse, scrape, circumvent, or compromise the Service
– Your use creates legal, security, operational, or reputational risk
– We are required to do so by law or by a third-party service provider

Upon termination, your right to use the Service will immediately cease.

Disclaimer

The Service is provided on an “as is” and “as available” basis. We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at any particular time.

We do not guarantee publisher acceptance, client orders, marketplace visibility, traffic, ranking, revenue, payment timing, publication timing, search performance, or any specific commercial result.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation Of Liability

To the fullest extent permitted by law, Bit Rebels and its owners, directors, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, business opportunity, or reputation.

Our total liability for any claim relating to the Service will not exceed the amount paid by you to Bit Rebels for the specific order or service giving rise to the claim, or, if no amount was paid, 100 EUR.

Indemnification

You agree to defend, indemnify, and hold harmless Bit Rebels and its owners, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from or related to:

– Your use of the Service
– Your violation of these Terms
– Your Submitted Materials
– Your website submissions or order submissions
– Your violation of third-party rights
– Your violation of applicable law
– Your fraud, abuse, misrepresentation, or unauthorized conduct

Governing Law

These Terms are governed by the laws of Sweden, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service will be handled by the courts of Sweden, unless applicable law requires otherwise.

Changes To These Terms

We may update these Terms from time to time. When we make changes, we will update the “Last updated” date above. Continued use of the Service after changes are posted means you accept the updated Terms.
